Terms of Service
Last Updated: June 20, 2026
These Terms of Service govern your access to and use of Neet, including our website, online platform, teamspaces, invoice workspaces, collaboration tools, payment tracking features, communications, and related services.
These Terms are a legal agreement between you and Neet., Inc. (“Neet,” “we,” “us,” or “our”). By accessing or using Neet, creating an account, accepting an invitation, viewing an invoice, creating a teamspace, creating or approving an invoice, or otherwise using the platform, you agree to these Terms.
If you do not agree to these Terms, do not access or use Neet.
Plain-English Summary
Neet helps buyers, suppliers, and invited users collaborate around invoices in one online workspace. Users can create invoices, invite others, comment, request changes, approve invoices, and manually track payment milestones after approval.
Neet does not sell products, introduce buyers and suppliers, process payments, hold money, provide escrow, arrange shipping, inspect goods, handle customs, verify users, guarantee payments, or guarantee transactions.
Users are responsible for their own invoices, products, pricing, payments, shipments, approvals, files, comments, invitations, and commercial relationships.
This summary is provided for convenience only. The full Terms below control.
1. What Neet Is
Neet is an online invoice collaboration platform that helps buyers, suppliers, and their invited users create, share, review, revise, comment on, approve, and track invoices and related payment information in a shared digital workspace.
Neet allows users to create teamspaces, invite team members, create invoice workspaces, add invoice information, upload files or images, add comments, request or make changes before approval, approve invoice versions, and manually track approved invoice payment milestones.
Neet provides workflow, collaboration, visibility, and recordkeeping tools. Neet is not a party to any transaction between buyers, suppliers, or other users.
2. What Neet Does Not Do
Neet does not sell goods, buy goods, introduce buyers and suppliers, broker transactions, inspect products, verify product quality, arrange shipping, handle customs, provide freight forwarding, provide escrow, process payments, hold funds, release funds, provide banking services, provide insurance, or guarantee any buyer, supplier, product, payment, shipment, invoice, approval, or transaction.
Users are solely responsible for their own commercial relationships, invoices, product details, pricing, payment terms, shipping terms, customs obligations, tax obligations, product quality, payment obligations, shipment obligations, and any agreement between them.
Neet may display information entered by users, but Neet does not independently verify, certify, guarantee, or approve that information.
3. Eligibility
You must be at least 18 years old to use Neet.
If you use Neet on behalf of a company, organization, teamspace, business, supplier, buyer, or other entity, you represent that you have authority to act on behalf of that organization and to bind it to these Terms.
If you create or use a teamspace for yourself, a personal project, a family purchase, or any non-entity purpose, you are personally responsible for your use of Neet and for activity under your account or teamspace.
4. Accounts and Login
To use certain features of Neet, you may need to create an account or log in through an available authentication method, such as email and password, magic link, Google login, phone number login, or other login methods that Neet may make available in the future.
You are responsible for maintaining the security of your account, login credentials, devices, and authorized access methods. You are responsible for activity that occurs through your account, except to the extent caused by Neet’s own breach of these Terms or applicable law.
You must provide accurate account information and keep it reasonably up to date. You may not create an account using false information, impersonate another person or organization, or use another person’s account without authorization.
Neet may require account verification, contact verification, additional authentication, or other security steps before allowing access to certain features.
5. Invitations and Guest Invoice Viewing
Neet may allow users to invite buyers, suppliers, team members, family members, representatives, or other recipients to view or access an invoice, teamspace, or workspace through email, phone number, message, invitation link, or another invitation method.
An invited recipient may be able to view the specific invoice they were invited to without creating a Neet account. By viewing an invoice through Neet, the recipient agrees to these Terms to the extent applicable to their access and use.
A recipient must create or log into a Neet account to collaborate, comment, approve, request changes, edit, access a dashboard, manage payment milestones, or use other authenticated platform features.
The user who sends an invitation is responsible for ensuring that the recipient is the correct person and is authorized to receive the information being shared. Neet is not responsible if a user enters incorrect contact information, sends an invitation to the wrong recipient, forwards an invitation improperly, or shares access with an unauthorized person.
Neet may require verification, limit invitation access, expire invitation links, revoke invitation links, or require account creation before access or continued access to invoice information.
6. Teamspaces
Neet allows users to create teamspaces. A teamspace may represent a business, supplier, buyer, company, organization, individual, personal project, family project, or other group of users collaborating together.
The user who creates a teamspace automatically becomes the first Admin of that teamspace. A teamspace may have multiple Admins. Each teamspace must have at least one Admin at all times.
If you create, manage, or administer a teamspace, you are responsible for the accuracy of the teamspace information, the users you invite, the roles you assign, the permissions you grant, and the activity that occurs under the teamspace by authorized users.
If you create or manage a teamspace on behalf of a company or organization, you represent that you have authority to do so.
7. Teamspace Deletion
Only Admins may delete a teamspace, subject to platform controls.
A teamspace may not be deleted while it has invoices that are not closed. For MVP, an invoice is considered closed in Neet when the supplier-side user confirms that payment was received, subject to platform functionality.
Neet may prevent deletion of a teamspace where deletion would affect active invoices, payment tracking records, activity history, legal compliance, security, dispute resolution, backup integrity, or platform operations.
Deletion of a teamspace may not immediately delete all related records, invoices, activity history, backups, or information that Neet is permitted or required to retain under these Terms, the Privacy Policy, applicable law, or legitimate business needs.
8. Roles and Permissions
Neet may support different roles and permission levels, including Admin, Member, and Viewer. Actual access may depend on the user’s role, teamspace settings, invoice participation, platform controls, and feature availability.
Admin
An Admin is the highest teamspace role. Admins may manage teamspace settings, teamspace profile information, members, roles, invitations, invoices, drafts, payment information, revenue visibility, analytics, and invoice-related notifications.
Admins may access all invoices and drafts in their teamspace, including invoices created by Members. Admins may also access comments, files, payment information, activity history, and other invoice-related information within the teamspace, subject to platform functionality.
A teamspace must always have at least one Admin. A sole remaining Admin may be prevented from leaving the teamspace, removing themselves, downgrading their role, or deleting their account if doing so would leave the teamspace without an Admin.
Member
A Member is a standard teamspace user. Members may create, edit, send, cancel, comment on, and manage invoices that they own or are part of, subject to platform controls.
Members may create and send invoices without Admin approval unless Neet later makes a different workflow available. Members generally do not have teamspace-wide access to all invoices, drafts, payment information, revenue figures, or analytics unless they are added to the applicable invoice or have permissions that allow such access.
Members may view certain teamspace information, but they may not control teamspace settings, invite teamspace users, remove users from the teamspace, change roles, or delete the teamspace unless Neet makes such permissions available.
Viewer
A Viewer is a limited-access teamspace user. Viewers may view invoices, drafts, files, comments, payment information, dashboard information, and analytics only for invoices or drafts they are added to, subject to platform controls.
Viewers may post internal comments on invoices they are part of if that feature is available. Viewers may not create, edit, send, cancel, approve, confirm payment, add users, remove users, comment externally, control teamspace settings, manage roles, manage invites, or delete the teamspace.
9. User Responsibility for Permissions
Users are responsible for assigning appropriate roles and permissions.
Neet is not responsible for losses, disclosure of information, mistaken access, or disputes caused by a user inviting the wrong person, assigning the wrong role, sharing an invitation link, failing to remove a user, or otherwise managing access incorrectly.
Teamspace Admins should understand that they may have broad visibility into teamspace invoices, drafts, files, comments, payment information, activity history, analytics, and related information. Users should not create or share information in a teamspace unless they are comfortable with applicable Admin access and teamspace permissions.
Neet may provide permission tools, but users remain responsible for how those tools are used.
10. Invoices and Invoice Information
Neet allows users to create invoices and invoice workspaces. Invoices may include standard invoice fields, buyer information, supplier information, product or service details, quantities, descriptions, pricing, totals, payment terms, payment milestones, payment methods, shipping-related terms, notes, files, photos, comments, approvals, custom columns, custom fields, and any other information that users enter, upload, attach, or share through Neet.
Because Neet may provide flexible, table-like invoice tools, users may enter information in custom formats or custom columns. Users are solely responsible for all information they enter, upload, attach, send, approve, or share through Neet.
Neet does not verify invoice accuracy, pricing, quantities, product descriptions, product quality, payment terms, shipping terms, taxes, customs obligations, or any other invoice information.
11. Sensitive Information
Users should not enter or upload sensitive personal information unless it is necessary for their transaction and they have the legal right to do so.
Sensitive information may include government identification numbers, passport numbers, driver’s license numbers, bank account details, payment card information, tax identification numbers, health information, biometric information, children’s information, or other highly sensitive personal information.
Neet is not designed to collect or store sensitive personal information as part of its MVP invoice collaboration workflow. If a user chooses to enter or upload sensitive information, that user is responsible for ensuring they have the right to do so and that the information is accurate, lawful, necessary, and shared only with appropriate recipients.
12. Invoice Collaboration
Before approval, authorized users may be able to edit invoice information, add comments, upload files, request changes, review changes, or otherwise collaborate through Neet, depending on their role and access rights.
Users are responsible for reviewing invoice information before approving, sending, relying on, or acting on it. Neet is not responsible for mistakes, omissions, misunderstandings, translation issues, inaccurate information, incorrect custom fields, or disputes between users.
13. Invoice Approval
When a user approves an invoice or invoice version in Neet, Neet records that approval as an action taken by that user.
Approval means that the approving user approved the invoice version presented to them in the platform. Approval does not mean that Neet approved, verified, certified, guaranteed, or enforced the invoice or any transaction.
Before approving an invoice, users are responsible for reviewing the invoice information, including products, descriptions, quantities, pricing, totals, payment terms, shipping-related terms, files, comments, and any custom fields or attachments.
Neet may display an approval confirmation or similar prompt. By approving, the user confirms that they are taking that action on their own behalf or on behalf of the teamspace, company, organization, buyer, supplier, or other party they are authorized to represent.
Neet does not determine whether an approval creates a legally binding agreement between users. Any legal effect of an approval is solely between the relevant users and may depend on their separate agreements, applicable law, and circumstances.
14. Locked Approved Invoices
Once an invoice is approved, the approved invoice is locked in the platform and cannot be edited through Neet’s MVP workflow.
If users need to reflect updated terms after approval, they may need to create a new invoice or use any future versioning or change workflow that Neet may make available. Neet is not obligated to support post-approval edits, reopening, re-approval, or versioning unless such features are made available in the platform.
15. Payment Tracking
After an invoice is approved, Neet may display the invoice in a payment dashboard or similar payment tracking area. Users may manually track payment milestones based on the payment terms approved in the invoice, including amounts, percentages, payment methods, due points, and related payment details.
Payment tracking is a user-maintained workflow tool. It does not modify the approved invoice itself.
Buyer-side authorized users may be able to mark payment milestones as paid. Supplier-side authorized users may be able to mark payment milestones as received. If a supplier marks payment as received, that status may update the buyer’s view. If a buyer marks payment as paid, that status does not necessarily update the supplier’s view or mean that the supplier has received funds.
Neet does not process, collect, hold, transfer, release, settle, verify, reverse, insure, guarantee, or confirm payments. Neet does not provide escrow, banking, money transmission, or payment processing services.
Payment statuses are based on user-entered information. Neet is not responsible for payment disputes, failed payments, delayed payments, incorrect payment markings, chargebacks, reversals, non-payment, overpayment, underpayment, or any other payment-related issue between users.
Any payment dashboard, payment tracker, payment milestone checklist, or similar feature is provided for user convenience only and should not be treated as proof of payment, proof of receipt, accounting advice, tax advice, legal advice, or a regulated financial ledger.
16. Closed Invoices
For MVP, an invoice may be treated as closed in Neet when the supplier-side user confirms payment was received, subject to platform functionality.
A closed status is a Neet workflow status only. It does not mean Neet verified payment, verified receipt of funds, confirmed completion of the transaction, confirmed delivery, confirmed product acceptance, resolved disputes, confirmed there are no refunds, confirmed there are no chargebacks, or legally settled the transaction between users.
17. Shipping and Logistics
Invoices may include shipping-related information, such as shipping costs, shipping terms, delivery addresses, pickup or drop-off information, Incoterms, estimated timing, or responsibility between buyer and supplier.
Neet does not currently provide shipment tracking. Neet does not arrange shipping, book freight, track carriers, verify delivery, handle customs, provide customs advice, provide freight forwarding, provide insurance, or guarantee that goods are shipped, delivered, received, accepted, or compliant with applicable laws.
Users are solely responsible for all shipping, delivery, freight, customs, import, export, tax, and logistics matters related to their transactions.
18. Activity History
Neet may record certain platform activity, including invoice creation, edits, comments, approvals, invitations, access changes, role changes, payment milestone updates, and other user actions.
Activity history is provided for workflow visibility and recordkeeping only. Neet does not guarantee that activity history is complete, permanent, legally sufficient, error-free, admissible in any dispute, or suitable for any accounting, tax, legal, compliance, or audit purpose.
19. User Content
“User Content” means any information, data, text, invoices, custom fields, files, photos, images, comments, messages, payment updates, teamspace information, contact information, or other materials that users enter, upload, submit, send, approve, or share through Neet.
You retain ownership of your User Content.
You grant Neet a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, copy, share, and otherwise use User Content as reasonably necessary to provide, operate, maintain, secure, troubleshoot, and support Neet.
This license includes the right to display User Content to users you invite or authorize, users in your teamspace with appropriate access, and other users who are part of the relevant invoice or workspace.
Neet may use aggregated, anonymized, or de-identified data to analyze, improve, develop, and operate the platform, as described in these Terms and the Privacy Policy.
20. Responsibility for User Content
You are solely responsible for your User Content and for ensuring that you have all rights, permissions, consents, and authority necessary to enter, upload, share, or approve it through Neet.
Neet does not review, approve, verify, control, or monitor User Content as a normal course. However, Neet may remove, restrict, disable, or limit access to User Content or accounts if Neet believes, in its sole discretion, that the content or use of the platform may violate these Terms, violate law, create security risk, create legal risk, infringe rights, involve fraud, involve sanctions risk, involve counterfeit activity, harm other users, or misuse the platform.

Neet may investigate suspected violations and may suspend, restrict, or terminate access where appropriate.
22. Privacy
Neet’s collection, use, and sharing of personal information is described in our Privacy Policy.
By using Neet, you acknowledge that Neet may process personal information and other data as described in the Privacy Policy, including account information, teamspace information, invoice information, comments, uploads, payment tracking information, device information, and communications.
You are responsible for providing any notices and obtaining any consents required before entering or uploading personal information about another person into Neet.
23. Cookies and Similar Technologies
Neet may use cookies, local storage, tokens, and similar technologies that are necessary to operate the platform, authenticate users, maintain sessions, remember preferences, secure accounts, and provide core functionality.
Neet does not currently use analytics or advertising cookies. If Neet introduces analytics, advertising, or other non-essential cookies in the future, Neet may update its Privacy Policy and provide additional notice or consent options where required.
24. Communications
Neet may send transactional, administrative, security, account, invoice, invitation, approval, comment, payment tracking, and service-related communications by email, phone, SMS, in-app notification, or other contact methods associated with your account or invitations.
These communications are part of the service and may be necessary for using Neet.
You represent that any contact information you provide, upload, or use for invitations is accurate and that you have the right to use it for the applicable purpose. If you invite another person by email, phone number, SMS, message, or other contact method, you are responsible for ensuring that the recipient is authorized to receive the invitation and related information.
Neet may send marketing or promotional communications where permitted by law. You may opt out of marketing emails. Neet will not knowingly send marketing SMS messages without consent where consent is required by law. Even if you opt out of marketing communications, you may still receive transactional or service-related communications.
25. Third-Party Services
Neet may use third-party service providers to host, operate, secure, support, analyze, or deliver the platform. These providers may include hosting providers, database providers, authentication providers, email providers, infrastructure providers, storage providers, and other vendors.
Neet currently uses or may use providers such as Supabase, Vercel, and other service providers.
Neet may also allow login or authentication through third-party services such as Google, phone-based login providers, or other providers. Neet may later support WeChat or other third-party login, communication, or invitation methods.
Your use of third-party services may be subject to their own terms and privacy policies. Neet is not responsible for third-party services, third-party websites, third-party login providers, third-party communication providers, or third-party systems outside Neet’s control.
26. Free, Beta, Pilot, and Future Paid Access
Neet’s MVP is currently free. Neet may offer free, beta, pilot, trial, paid, subscription, enterprise, or other plans in the future.
Neet may add, remove, limit, modify, suspend, or discontinue features at any time. Features available during MVP, beta, pilot, or trial access may change and may not be available in later versions.
If Neet introduces paid plans, pricing, payment terms, renewal terms, cancellation terms, and billing terms may be provided separately or added to these Terms. Neet will not charge you unless you have agreed to applicable payment terms or otherwise provided authorization.
27. Suspension and Termination
Neet may suspend, restrict, or terminate your account, teamspace, invoice access, invitation access, or use of the platform if Neet believes that:
- you violated these Terms;
- your use creates legal, security, operational, regulatory, or reputational risk;
- your account or teamspace may be compromised;
- your use may involve fraud, sanctions risk, counterfeit activity, unlawful activity, or misuse;
- you provided false, misleading, or unauthorized information;
- suspension is needed to protect Neet, users, data, systems, or third parties.
You may stop using Neet at any time. Certain teamspace or account deletion actions may be limited where needed to preserve teamspace administration, invoice records, security, legal compliance, dispute resolution, or platform integrity.
28. Data Retention and Deletion
Neet may retain User Content, account information, invoice information, activity history, communications, and related records for as long as reasonably necessary to provide the platform, maintain records, comply with legal obligations, resolve disputes, enforce agreements, prevent fraud, maintain security, support backups, and operate the business.
Deletion requests may be subject to legal, technical, backup, security, and recordkeeping limitations. Neet is not obligated to delete information that it is legally or operationally permitted or required to retain.
29. Confidentiality Between Users
Users may share confidential, sensitive, commercial, pricing, product, supplier, buyer, or business information through Neet. Users are responsible for deciding what information to share and who may access it.
You agree to use other users’ non-public information only for the purpose for which it was shared and not to misuse or disclose it outside the relevant teamspace, invoice, transaction, or relationship unless authorized or legally permitted.
Neet cannot control what authorized users do with information after they access it. Neet is not responsible for unauthorized disclosure caused by a user’s invitation, permission setting, sharing decision, account compromise, download, screenshot, forwarding, export, or misuse.
30. Ownership of Neet
Neet and its licensors own all rights, title, and interest in and to the platform, website, software, design, interfaces, workflows, technology, branding, trademarks, logos, and related intellectual property.
These Terms do not grant you ownership of Neet or any Neet intellectual property. You may use Neet only as permitted by these Terms.
You may not copy, modify, reverse engineer, sell, resell, license, sublicense, distribute, scrape, or create derivative works from Neet except as expressly permitted by Neet in writing or by applicable law.
31. Feedback
If you provide feedback, suggestions, ideas, improvements, bug reports, product requests, or other comments about Neet, you grant Neet the right to use them without restriction, compensation, or obligation to you.
Neet may use feedback to improve, develop, modify, commercialize, or support the platform.
32. Aggregated and De-Identified Data
Neet may use aggregated, anonymized, or de-identified data derived from use of the platform for analytics, product improvement, security, reporting, research, business, and operational purposes.
Neet will not publicly disclose identifiable invoice information, customer information, supplier information, teamspace information, or User Content without permission, except as described in these Terms, the Privacy Policy, or as required or permitted by law.
33. Copyright and Intellectual Property Complaints
If you believe content on Neet infringes your copyright, trademark, or other intellectual property rights, you may contact Neet at contact@useneet.com with details of the claimed infringement.
Neet may remove or restrict access to content that it believes may infringe third-party rights or violate these Terms. Neet may suspend or terminate accounts of users who repeatedly infringe third-party rights.
34. No Professional Advice
Neet does not provide legal, tax, accounting, customs, trade compliance, shipping, insurance, financial, payment, or professional advice.
Any information displayed through Neet is for workflow and collaboration purposes only. You are responsible for obtaining your own professional advice where needed.
35. No Verification of Users or Transactions
Neet does not verify the identity, creditworthiness, legitimacy, authority, reliability, product quality, payment ability, shipment ability, or performance of any buyer, supplier, user, company, teamspace, or transaction unless Neet expressly states otherwise in writing.
You are responsible for deciding who to transact with, who to invite, what information to rely on, and whether to proceed with any transaction.
36. Disclaimers
To the maximum extent permitted by law, Neet is provided on an “as is” and “as available” basis.
Neet does not warrant that the platform will be uninterrupted, secure, error-free, accurate, complete, reliable, available, or suitable for your specific needs.
Neet disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

To the maximum extent permitted by law, Neet’s total liability for all claims arising out of or relating to these Terms or the platform will not exceed the greater of:
- the amount you paid to Neet for use of the platform in the twelve months before the event giving rise to the claim; or
- one hundred U.S. dollars.
This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, statute, or any other legal theory.
Nothing in these Terms limits liability that cannot be limited under applicable law.
38. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Neet., Inc. and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, demands, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, except to the extent applicable law requires otherwise.
40. Dispute Resolution
Please contact Neet first at contact@useneet.com so we can try to resolve any issue informally.
To the maximum extent permitted by law, you and Neet agree that any dispute, claim, or controversy arising out of or relating to these Terms or the platform will be brought only on an individual basis and not as part of a class, collective, consolidated, private attorney general, or representative action.
Unless otherwise required by applicable law, you and Neet consent to the exclusive jurisdiction and venue of the state or federal courts located in Delaware for disputes arising out of or relating to these Terms or the platform.
Nothing in this section limits any right you may have under applicable law to bring claims in small claims court, to seek public injunctive relief where such right cannot be waived, or to bring claims in another forum where applicable law requires.
41. Changes to These Terms
Neet may update these Terms from time to time. If Neet makes material changes, Neet may provide notice by email, in-app notice, website notice, or another reasonable method.

If you do not agree to updated Terms, you must stop using Neet.
42. Changes to the Platform
Neet may modify, add, remove, suspend, discontinue, limit, or replace any part of the platform at any time.
Neet is not liable for any modification, suspension, discontinuation, or unavailability of any feature, workflow, dashboard, invoice tool, payment tracking function, role permission, or other part of the platform.

Neet does not represent that the platform is appropriate or available in all countries or for all transactions.
44. Language and Translations
Neet may provide translations, bilingual materials, or non-English support for convenience. Unless Neet provides otherwise in a legally binding written agreement, the English version of these Terms controls.
Users are responsible for reviewing and understanding invoice information, comments, payment terms, and other transaction information, including where translations are used.
Neet is not responsible for translation errors, misunderstandings, or disputes arising from translated content or multilingual communications.
45. Assignment
You may not assign or transfer these Terms or your rights or obligations under these Terms without Neet’s prior written consent.
Neet may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or by operation of law.
46. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, if permitted by law.
47. No Waiver
Neet’s failure to enforce any provision of these Terms does not waive Neet’s right to enforce that provision later.
48. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented by Neet for specific features or services, make up the entire agreement between you and Neet regarding your use of the platform.
